1. Services

Pixel IT Consultants provides information technology services including but not limited to:

• Managed IT support and maintenance
• Custom software development
• Cloud services and migration
• Apple device management and support
• IT consulting and strategy
• Network infrastructure services

Specific services, deliverables, and timelines will be outlined in individual service agreements or statements of work.

2. Your Obligations

When using our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of any access credentials
• Use our services in compliance with applicable laws
• Not use our services for any unlawful purpose
• Provide reasonable access to systems and information as needed for service delivery
• Maintain appropriate backups of your data
• Notify us promptly of any security incidents or concerns

3. Intellectual Property

Our Intellectual Property

All intellectual property rights in our website, tools, methodologies, and pre-existing materials remain the property of Pixel IT Consultants. You are granted a limited, non-exclusive licence to use these materials solely for the purpose of receiving our services.

Custom Development

For custom software development projects, ownership of deliverables will be specified in the relevant project agreement. Unless otherwise agreed in writing:

• Custom code developed specifically for you will be owned by you upon full payment
• We retain ownership of any pre-existing code, libraries, or frameworks we use
• We may retain the right to reuse general techniques and methodologies

4. Limitation of Liability

To the maximum extent permitted by law:

• Our services are provided "as is" without warranties of any kind, except as expressly stated
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability for any claim is limited to the fees paid for the specific services giving rise to the claim
• We are not liable for any loss of data, business interruption, or lost profits

Nothing in these Terms limits liability that cannot be legally limited, including liability for fraud or gross negligence.

5. Payment Terms

• Payment terms will be specified in individual service agreements or invoices
• Unless otherwise agreed, invoices are due within 14 days of issue
• Late payments may incur interest at a rate of 2% per month
• We reserve the right to suspend services for overdue accounts
• All prices are in Australian Dollars (AUD) and exclusive of GST unless stated otherwise

6. Termination

Either party may terminate the service relationship:

• By providing written notice as specified in the service agreement
• Immediately if the other party materially breaches these Terms
• Immediately if the other party becomes insolvent or enters administration

Upon termination, you must pay for all services rendered up to the termination date. We will provide reasonable assistance in transitioning services, subject to payment of applicable fees.

7. Governing Law

These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales for any disputes arising from these Terms or our services.

Australian Consumer Law guarantees apply to our services, and nothing in these Terms is intended to limit or exclude those guarantees.
